Terms & Conditions

Please read these terms carefully before using the BidandStudy platform. By using our services, you agree to be bound by these terms.

1. Overview and Scope

FPP Edu Media LLC ("FPP Edu Media," "we," "our," "us") operates an online marketplace (the "Platform") that connects individual learners ("Students") with language schools ("Schools"). The Platform is marketed under the trade names BidandStudy, LeilãodeIntercâmbio, RematedeCursos, among others, used exclusively for marketing and communication purposes. The registered company responsible for all services and obligations is FPP Edu Media LLC. The Platform is not a university/college marketplace and does not itself provide educational services.

By accessing or using the Platform, you agree to be bound by these Terms & Conditions (the "Terms"), our Privacy Policy, and our Cookie Policy.

2. Key Definitions

School: A language school participating on the Platform.

Student: An individual using the Platform to find and enroll in language courses.

Bid: A Student's price proposal and preferences submitted through the Platform.

Counteroffer: A School's reply proposing different terms.

Acceptance: A School's acceptance of a Bid (or a Student's acceptance of a Counteroffer).

Confirmation Fee: The amount the Student pays FPP Edu Media to lock an accepted offer. The exact figure is shown as an absolute amount in the Student's currency before confirmation — never as a percentage — and it is calculated on the tuition component of the accepted offer only (accommodation, airport transfers, insurance and ancillary items are excluded).

Expiration Time: The date/time after which a Bid, Counteroffer, or Acceptance automatically lapses if no required action is taken.

3. Eligibility and Capacity

You must be 18 years or older and have legal capacity to contract. If you are under 18, you may only use the Platform with the active consent and responsibility of a parent or legal guardian.

4. Role of FPP Edu Media

FPP Edu Media operates the Platform that connects Students and Schools and, when collecting a Confirmation Fee from a Student, acts as payment facilitator for that fee only. The education contract is formed directly between the Student and the School. Schools are solely responsible for their course content, pricing, availability, policies, quality, and delivery.

5. School Identity and Messaging

School profiles may be visible in a generic form on the Platform. The School's full identity (name, logo, and website) is revealed to the Student once a School sends a proposal (Acceptance or Counteroffer).

Once the Student accepts an offer, the Student is introduced to the School by full name (first and last), the Confirmation Fee is charged, and a direct communication channel opens between Student and School for enrollment logistics.

6. Submitting Bids

Submitting a Bid on the Platform is free. There is no bid fee and no payment required to receive School responses. Schools receiving a Bid may accept, decline, or respond with a Counteroffer. All actions may include an Expiration Time displayed in the Platform. No contract is binding until the Student confirms an accepted offer by paying the Confirmation Fee before expiry.

Decision window: Once the first School responds to your Bid, you have 72 hours to choose a School on the Platform. If no selection is made within that window, the pending offers are withdrawn and our team takes over the follow-up. The countdown is paused while any admin thread you opened is awaiting a reply from us, and resumes automatically once we reply.

7. Acceptances, Confirmation Fee, and Payments

Confirmation Fee: When a School accepts a Student's Bid, or when a Student accepts a School's Counteroffer, the Student confirms by paying the Confirmation Fee to FPP Edu Media before the Expiration Time. The exact amount, in the Student's currency, is shown at checkout and is computed on the accepted offer's tuition component only.

Remaining balance to the School: All other amounts owed (tuition balance, accommodation, airport transfers, insurance, and any other ancillary items) are paid by the Student directly to the School, through the School's own channel, following the invoice and schedule provided by the School. Where the destination country's visa requires proof of full upfront payment, the Student must settle with the School before the course start date. FPP Edu Media is not involved in those payments.

Alternative model (some Schools): A small number of Schools operate under a traditional agent model in which the Student pays the School 100% of the invoice directly and FPP Edu Media invoices the School for its commission. Where this model applies to a given School, the Student's checkout flow for that School's offer will reflect it and no Confirmation Fee is collected from the Student.

Taxes, FX, and Charges: Prices may exclude taxes/fees. Bank charges, foreign exchange spreads, and payment processor fees are the Student's responsibility.

Chargebacks/Failures: We may suspend pending actions if a payment fails or is charged back.

8. Expirations

If the Student does not confirm an accepted Bid or Counteroffer by paying the Confirmation Fee before the Expiration Time, the offer lapses automatically without liability to either party.

9. Enrollment Confirmation and Contracting Party

Enrollment is only confirmed once (a) the School has accepted the Bid or the Student has accepted a Counteroffer, and (b) the Student has paid the Confirmation Fee (or, for Schools operating under the traditional model, completed the School's own reservation step) before the Expiration Time. The School then issues written confirmation and an invoice for the remaining amounts.

10. Changes to Reservations

Changes to confirmed bookings are governed by each School's policies. Some Schools allow changes within a short window after confirmation without extra fees; others may charge administrative or third-party costs. Changing Schools, reducing duration, or downgrading services may be treated as a cancellation under the School's policy.

11. Cancellations and Refunds

If the Student does not confirm an accepted Bid or Counteroffer before expiry, the offer simply lapses and no Confirmation Fee is charged.

After payment, the Confirmation Fee is handled as follows: (a) if the School fails to honour the accepted offer, the Student receives a full refund with no administrative fee; (b) if cancellation is not caused by the Student (visa refusal despite the Student following the guidance, documented force-majeure, or equivalent), the Student receives a refund minus a small administrative fee disclosed at checkout; (c) if the Student cancels after acceptance for their own reasons, the Confirmation Fee is non-refundable.

Visa Refusal: Students must submit official refusal documentation no later than 21 days before the course start date (unless the School specifies a different window) to qualify under (b) above. Admin fees may apply as disclosed at checkout and/or by the School.

Remaining amounts paid to the School: Refunds on amounts the Student paid directly to the School are governed by the School's own refund policy, shown before the Student confirms the offer.

After start date: After the course begins, refunds are generally not available for the remainder, unless explicitly provided in the School's policy.

12. Accommodation (If Offered)

Accommodation (when provided) is managed by the School or third-party providers and is subject to their terms. Preferences listed in the Bid are not guaranteed. Detailed accommodation information is typically provided 1–2 weeks before the course start date.

13. Airport Transfers and Ancillary Services

Airport transfers and other ancillary services may be available through individual Schools or third parties and are subject to their separate terms, pricing, and availability.

14. Minimum Class Size and Holiday Schedules

Schools may replace group classes with reduced individual/small-group classes if minimum class sizes are not met. Classes typically do not occur on local/national holidays or weekends; missed classes are not usually refunded or rescheduled unless stated otherwise by the School.

15. Student Responsibilities (Travel, Health, Compliance)

Students are responsible for passports, visas, travel arrangements, insurance, customs/immigration rules, and health requirements. Students should inform Schools of relevant medical considerations and follow local regulations.

16. Prohibited Conduct

You agree not to: (a) misrepresent identity or documentation; (b) automatically extract data from, harvest information from, or reverse-engineer the Platform; (c) post abusive, illegal, or infringing content; (d) interfere with the Platform; or (e) violate sanctions, export controls, or other applicable laws. We may suspend or terminate accounts for violations.

17. Information Accuracy

School listings, prices, availability, policies, and descriptions are provided by the Schools. FPP Edu Media does not guarantee accuracy or completeness and is not liable for errors/omissions. Currency conversions shown on the Platform are for information only.

18. Privacy; KYC/AML

We process personal data per our Privacy Policy (GDPR- and LGPD-aligned). We may conduct KYC/AML/sanctions screening and freeze or refund payments where required by law or to prevent misuse.

19. Intellectual Property and Use of Site

All Platform content is owned by FPP Edu Media or its licensors and protected by intellectual property laws. You may use the Platform for personal, non-commercial purposes only. No automated data extraction, framing, unauthorized copying, or derivative works are permitted.

20. Third-Party Links and Services

The Platform may link to third-party sites or services. We do not control or endorse third-party content and are not responsible for it. Your use of third-party services is at your own risk and subject to their terms.

21. Disclaimers; Limitation of Liability

To the maximum extent permitted by law, the Platform is provided "as is." We do not guarantee uninterrupted or error-free operation, admission outcomes, visas, accommodation, or course results.

Schools are solely responsible for the delivery and quality of their services.

Our total liability for claims arising out of or related to the Platform shall not exceed the aggregate fees paid to FPP Edu Media for the relevant transaction(s). We shall not be liable for indirect, punitive, incidental, or consequential damages.

22. Suspension and Termination

We may suspend or terminate access to the Platform at any time for any reason, including misuse, fraud, non-payment, chargebacks, or suspected violations of these Terms.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the courts located in Clark County, Nevada for all disputes arising from these Terms or the Platform.

24. Language and Precedence

We may provide these Terms in multiple languages (e.g., English, Portuguese, Spanish). In the event of inconsistency or conflict, the English version controls.

25. Changes to Terms

We may update these Terms from time to time. The "Last updated" date will reflect changes. Your continued use of the Platform after updates constitutes acceptance of the revised Terms.
